Affiliate Program Agreement
I. CONTRACTING ENTITIES
VidoHost Inc. (VidoHost.com, "VidoHost", "the Company"), a United States corporation located at 1007 North Orange Street, 4th Fl. #255, Wilmington, DE 19801, USA, establishes this contract. This binding agreement applies to VidoHost and every participating Affiliate. "You" and "Your" denote any individual or entity enrolled in the VidoHost referral system. By joining the Program, you signify your absolute consent to the terms outlined herein.
II. OBJECTIVES OF THE PROGRAM
The primary goal of this initiative is to compensate VidoHost partners for generating high-quality referrals and expanding the global presence of the VidoHost brand through marketing strategies authorized by the Company.
Any engagement with this program that deviates from its intended purpose, harms the professional standing of VidoHost, or creates unfair disadvantages for other partners may be flagged as a breach of this contract.
III. RESPONSIBILITIES AND PRIVILEGES OF AFFILIATES
As a participant in the VidoHost program, you acknowledge the following mandates:
- Operation of multiple affiliate accounts is strictly prohibited; secondary accounts will be deactivated at our discretion.
- You must provide and maintain accurate, legal contact details. Use of aliases or fictional names is forbidden. Accounts registered for businesses must still identify a primary contact person by their legal first and last name.
- The creation, costs, and technical upkeep of your promotional platforms are your exclusive responsibility.
- You are required to ensure that your website content is lawful, non-defamatory, and does not infringe upon the intellectual property of any third party.
- VidoHost exercises no authority over your independent platforms and assumes no liability for content hosted there, including VidoHost-branded marketing assets.
- You must provide truthful, up-to-date details regarding our services. Use of generic or "boilerplate" reviews and fake user ratings is considered a violation of advertising integrity.
- You agree to protect and indemnify VidoHost against any legal claims or financial losses (including legal fees) arising from the management or content of your promotional sites.
- In accordance with FTC mandates, all affiliates must clearly disclose their financial connection to VidoHost. This disclosure must be visible on any site featuring our links. VidoHost reserves the right to suspend accounts that fail to meet these transparency requirements.
- We may inquire about the specific marketing channels you utilize. Failure to disclose these or providing false information can lead to commission forfeiture or account termination.
- Promotional links may not be distributed via unsolicited bulk emails, automated "bots," or unauthorized forum postings. Traffic from such sources is invalid and may result in a permanent ban.
- You may not profit from traffic that is deceptive or generated in bad faith. If a referral is deemed fraudulent, we reserve the right to claw back commissions at any time. Our determination in these matters is final.
- You are expected to focus your efforts on referring legitimate, high-quality customers to our services.
IV. DEFINITION OF A QUALIFIED CUSTOMER
A "Customer in Good Standing" includes, but is not restricted to, the following criteria:
- A user who submitted authentic and complete registration data during checkout.
- An account that has passed all automated and manual fraud prevention checks.
- A person who registered for VidoHost services of their own volition and intent.
- A user who processed payment using their own verified financial instruments (Card or PayPal).
- A client who adheres to all VidoHost service policies and has not triggered any safety or terms violations.
- Earnings from referrals that fail to meet these benchmarks may be nullified. VidoHost maintains final authority on qualifying sales.
V. APPROVED PROMOTIONAL TACTICS
You are prohibited from altering our logos, banners, or intellectual property without explicit written approval. All trademark and copyright notices on provided assets must remain intact. Only the specific link structures and banners provided by our system are authorized for representing our brand.
Participants are authorized to use our official creative assets on their websites, in opted-in email newsletters, or through direct marketing. These are the exclusive sanctioned methods for promoting VidoHost products.
VidoHost serves as the final judge regarding compliant sales. Commissions will be rejected if we determine the marketing method was deceptive or improper. Specifically, the following are banned:
- Engaging in "Spam" messaging or any illegal advertising formats.
- Bidding on VidoHost trademarks in PPC (Pay-Per-Click) campaigns or using "VidoHost" in display URLs or ad copy without permission.
- Promoting VidoHost through "coupon only" sites or platforms offering cash-back and financial rebates.
- Using tech-based deception such as iframes, cookie-stuffing, or link cloaking to hide the origin of traffic.
- Operating sites that host illicit, adult, or discriminatory content, or platforms that incite violence.
- Running websites that distribute pirated software, "Warez," or copyrighted media without a license.
- Registering domain names that include the word "vidohost" or close misspellings of our brand.
- Using prohibited terms like "discount," "promo," or "coupon" in page metadata or URLs to attract incentive-based traffic without adding original value.
- Referring family members or personal associates for commission; such sign-ups are only eligible for our Referral Program rewards.
- Creating social media profiles (Facebook, LinkedIn, etc.) that use our brand name or trademarks in the profile handle or title.
- VidoHost may deem any unlisted method as "inappropriate" based on a case-by-case evaluation of brand impact.
Search Engine Marketing Rules
While you may run paid advertisements to your own landing pages, you must adhere to the following strict rules on platforms like Google, Bing, and Facebook:
- You must not interfere with or compete against VidoHost’s internal marketing campaigns.
- Our brand names must not appear in your ad headlines or description text.
- Bidding on "VidoHost" or variations/misspellings as keywords is strictly forbidden. This includes terms like "vidohost reviews," "vidohost coupon," or "vido host."
- Combining our trademark with other terms (e.g., "vidohost deals") for keyword bidding is prohibited across all match types.
- Your ads may not be positioned higher than VidoHost's official corporate ads.
- Directly linking your ad to VidoHost.com or any of its subpages is not allowed.
- You cannot use our URL as the visible "Display URL" in any paid search advertisement.
Disclaimer of Liability
- VidoHost is not liable for costs incurred by affiliates on ad campaigns that result in rejected commissions due to policy breaches.
- Affiliates are solely responsible for all third-party advertising fees (Google Ads, etc.) required to generate their traffic.
- Compliance with these search engine rules is mandatory for all advertising on social media and global search networks.
If these rules are breached, VidoHost may pursue legal remedies, terminate this contract immediately, and withhold any pending commissions. You forfeit all rights to earnings generated during periods of non-compliance.
Your site must only show active, valid VidoHost offers. Expired deals or unauthorized promotions must be removed immediately. We actively scan search results; violators will be removed from the program without exception.
VI. MEASUREMENT AND TRACKING
We utilize browser-based cookies to attribute sales to your account. This occurs when a user follows your unique link. We are not liable for tracking failures caused by technical glitches, hardware malfunctions, or software errors. While we review missing commission claims, VidoHost retains final say on whether a sale is manually attributed.
Tracking cookies generally remain active for 10 days, though this window is subject to change. We cannot reward commissions if a user clears their cookies, uses "Incognito" mode, or switches devices/browsers before completing a purchase.
The "Last Click" rule applies: if a customer clicks multiple affiliate links, the most recent cookie will receive credit for the sale.
Promotional codes do not trigger a commission unless a valid affiliate cookie is already present in the user’s browser.
VII. EARNINGS AND DISBURSEMENTS
Payouts are determined by the automated tracking system and follow the rate card visible on your affiliate dashboard, unless a separate written addendum exists.
Eligibility for payment requires:
- A finalized sale of an eligible service (Shared, VPS, Cloud, or Dedicated hosting) via your link.
- The referred account remains in good standing and is not canceled or refunded within the first 45 days.
- The new user has logged into and utilized the hosting services at least once.
- The user’s website contains legitimate, original content intended for human consumption.
- The account is not being used solely for PBNs (Private Blog Networks), traffic redirection, or SEO manipulation.
- The customer adheres to all intellectual property and copyright regulations.
- Content on the referred site is not scraped, spun, or machine-translated from other sources without significant added value.
- While AI tools are permitted, the resulting websites must offer genuine utility. Sites built purely to "farm" commissions will be disqualified.
- Commissions will not be paid for "Daisy Chained" sites—sequences of linked pages designed to confuse users or facilitate phishing and scams.
- All financial figures and payments are processed in US Dollars (USD).
- Payouts occur on the 15th of the month, provided the affiliate has at least one approved commission and is not participating in the hosting-credit program.
- We use a tiered motivation system (Levels 1 through 4). Everyone starts at Level 1 each month, with the opportunity to move up based on monthly performance. Tiers reset on the first of every month.
- Performance-based upgrades apply only to the current monthly campaign period.
- Tier increases are not retroactive; higher rates apply only to new sales made after reaching the next level.
- All earnings are manually verified before being finalized on the 15th. The 45-day window is a minimum; actual approval time depends on the audit queue.
- Rewards only apply to the first-time purchase of a new customer. Renewals and add-on orders do not generate commissions.
- The referred individual must be a brand-new user who has never held a VidoHost account.
- The customer must complete the transaction independently. You may not fill out the order form on their behalf.
- All payouts are sent via PayPal. You must ensure your PayPal details are accurate in your profile.
- We reserve the right to decline earnings from "cloned" business models where multiple referrals use identical site structures or themes.
- VidoHost may hold commissions for extended periods to verify traffic quality without prior justification.
- The Company reserves the right to reject any individual sale for any reason at its sole discretion.
Where required by law, we will generate self-billed invoices for your payouts. By joining, you authorize VidoHost to issue these on your behalf and agree not to send separate invoices to our accounting department. You must notify us of any changes to your tax status or legal entity name.
VIII. LEGAL OWNERSHIP AND INDEMNITY
VidoHost assumes the legal relationship with the customer upon their first interaction with our site. Affiliates act only as independent referral sources. We maintain the right to reject any application for service to protect our network integrity.
Both parties retain full ownership of their respective trademarks, logos, and proprietary technologies. No transfer of intellectual property occurs under this agreement.
Once a referred user registers, they are subject to all standard VidoHost policies and customer service agreements.
You may gain access to non-public business data regarding our operations or your own performance. You agree to keep this information strictly confidential and use it only for the purposes of this program. This confidentiality survives the end of the contract.
You shall hold VidoHost harmless from any legal actions or expenses arising from the operation or content of your affiliate websites.
It is your duty to ensure links are correctly formatted; we cannot pay for untracked sales resulting from broken or modified links.
You are responsible for ensuring that VidoHost content on your site matches our current brand guidelines.
All materials on your site must be legally compliant and free of copyright infringements.
Independent Contractor Status
VidoHost and the Affiliate operate as independent entities. This contract does not establish a partnership, employment, or franchise relationship. You have no authority to bind VidoHost to any legal obligations or make representations on our behalf.
IX. DURATION AND CANCELLATION
This agreement can be terminated by either party at any time with written notice. Termination is "at will." Email notice is considered sufficient and immediate for this purpose.
Upon cancellation of this agreement:
- All VidoHost banners and links must be removed from your platforms immediately.
- All usage licenses for our trademarks and materials are revoked.
- You are eligible only for commissions approved prior to the termination date.
- If termination is due to a breach of terms, VidoHost reserves the right to withhold all pending funds.
- Both parties are released from future obligations, except for clauses intended to persist (such as confidentiality and indemnity). Termination does not erase liability for breaches occurring during the active contract.
VidoHost may update these terms at any time. Changes will be posted on our website and may include adjustments to payout rates or program rules.
We are not required to provide individual notice of changes to this document.
It is your responsibility to review these terms periodically. Your continued use of the program constitutes acceptance of the most recent version of this agreement.
This document constitutes the entire agreement and does not create any joint venture or agency relationship between the parties.
IF YOU FIND ANY UPDATED TERMS UNACCEPTABLE, YOU MUST TERMINATE YOUR PARTICIPATION IMMEDIATELY. CONTINUED PROMOTION OF VIDOHOST AFTER AN UPDATE CONSTITUTES YOUR BINDING AGREEMENT TO THE NEW TERMS.
IF YOU DO NOT AGREE TO THE TERMS STATED ABOVE, DO NOT USE ANY VIDOHOST TRADEMARKS, LINKS, OR PROMOTIONAL MATERIALS.
